This Terms of Use (these “Terms”) govern your use of ecounderwear.org and other websites operated by Sokopong Ghana Ltd (“Sokopong,” “we,” “us,” or “our”) that reference these Terms (the “Sites”), and any other services operated by Sokopong that reference these Terms (collectively, including the Sites, the “Services”). These Terms, together with the other agreements and policies explicitly included as part of these Terms (such as Sokopong’s Privacy Policy (the “Privacy Policy”)) or applicable to Services you use constitute the entire agreement (the “Agreement”) between you and Sokopong regarding the Services (excluding any services for which you have a separate agreement with Sokopong that is explicitly in addition to or in place of these Terms).
By agreeing to the Agreement, you represent and warrant to us that: (a) you are at least 18 years old (or at least 13 years old and your parent or guardian has agreed to the Agreement on your behalf) and have the legal capacity to contract, (b) you have not previously been suspended or removed from any Services, and (c) your registration and your use of the Services is and will comply with all applicable laws and regulations.
Please note that by using the Services you (or, if applicable, your parent or guardian on your behalf) enter a legally binding contract with Sokopong based on the Terms (as updated from time to time). FURTHER, THESE TERMS INCLUDE PROVISIONS (DESCRIBED IN MORE DETAIL BELOW) THAT LIMIT OUR LIABILITY AND REQUIRE INDIVIDUAL ARBITRATION FOR ANY POTENTIAL LEGAL DISPUTE.
Privacy
By using the Services, you consent to the collection, use, and sharing of personal information (as described in the Privacy Policy), including the transfer of personal information to Ghana, Nigeria, or other countries for storage, processing, and use by Sokopong.
Products Availability and Shopping Terms
We reserve the right to refuse any order you place with us for any reason. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order and purchases from any geography or jurisdiction. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. Additionally, products may have limited quantities and are subject to return or exchange only according to our return policy. We may exercise this right on a case-by-case basis. If we make a change to or cancel an order, we will attempt to notify you using the email and/or billing address/phone number provided when the order was made.
To place an order through the Services, you must be of legal age in your country and a consumer - not a reseller. The Services are intended solely for Sokopong to sell products directly to end-consumers, and purchase for resale is strictly prohibited. If Sokopong determines (in our sole judgment) that you are involved in purchase for resale, Sokopong reserves the right to restrict sales to you, cancel your orders, and/or suspend or close your account.
Shipment
All products purchased from the Services are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier. Unless otherwise specified, you are responsible for paying any taxes or duties associated with the importation of the purchased products in addition to the purchase price.
Product Warranty and Returns
Sokopong may replace defective products within a one-year time frame from the date of purchase. This does not affect your statutory rights. In the event your claim is justified, the purchase price and the shipping costs will be refunded based on the original form of payment. Except as otherwise stated during the checkout process, you have the right to return or exchange an order at any time within thirty (30) days of the purchase date.
Intellectual Property Rights
The Services and the content residing thereon are owned by Sokopong or its affiliates or business partners, or are used by us with express permission. Such content includes text, software, graphics, photos, videos, and other materials (“Sokopong Content”). Unless otherwise noted, the Services and Sokopong Content included on the Services are protected by copyright, trademark, and other intellectual property rights under Ghanaian, Nigerian, and international laws. You may not display or reproduce any content or trademarks without prior written consent from Sokopong.
Limited License + Services Access
The Services are licensed, not sold, to you for use only under the terms of the Agreement. Subject to your compliance with the terms and conditions of the Agreement, Sokopong grants you a limited, revocable, non-transferable license to access and use the Services for your own personal, noncommercial purposes.
Accounts and Passwords
If you use the Services and such use requires setting up an account, you are solely responsible for maintaining the confidentiality of your account and password(s). Sokopong is not responsible for any errors or delays in responding to any inquiry or request caused by incorrect, outdated, or incomplete information provided by you.
Disclaimer of Warranties
The Services and all content and information contained on the Services, including product descriptions, are provided on an "as is" basis without any warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Sokopong be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or use. Sokopong's total liability for any claim under these Terms is limited to the greater of the amount you paid us in connection with your use of the applicable Service(s) or $500.
Governing Law
These Terms and the relationship between you and Sokopong shall be governed by the laws of Ghana. Any disputes arising under these Terms will be subject to the jurisdiction of the courts located in Ghana.
Changes to These Terms
We may amend these Terms at any time by posting a revised version on the Services. Your continued use of the Services after the posting of a revised version constitutes your acceptance of the revised version.
